We, the undersigned, being natural persons over the age of eighteen years and citizens of the United States for the purpose of forming an association of persons and organizations interested in educational and scientific promotion of animal science and welfare, as well as other related issues, do hereby adopt the following Articles of Association:

ARTICLE I

The name of the Association is: WORLD EQUINE VETERINARY ASSOCIATION

ARTICLE II

The initial address of the office of the association shall be 20225 Grand Avenue, Wildomar, California 92595, and its initial legal representative at such location is William E. Jones.

ARTICLE III

Business affairs of the association shall be conducted by an Executive Committee selected from among the members of the Association. The number of members of this committee and terms of office shall be prescribed by the Statutes of the Association. The initial Executive Committee shall consist of the following persons: Warwick Bayly, Reuben Rose, Sue Dyson, William E. Jones, Richard Corde, Mikihiko Tokuriki.

ARTICLE IV

The purposes for which this association is organized are: The association is organized exclusively for charitable, educational, and scientific purposes within the meaning of Section 501©3 of the Internal Revenue Code.

ARTICLE V

The association formed hereby shall have no capital stock and shall be composed of members rather than stockholders. The association is not organized for pecuniary profit and shall have no power to declare dividends. No part of the net earnings of the organization shall inure to the benefit of its members, officers, trustees, or other private persons except that the association shall be authorized and empowered to pay reasonable compensation for services rendered, and to make reimbursements for expenditures made on behalf of the association.

ARTICLE VI

No substantial part of the activities of the association shall be the carrying on of propaganda or otherwise attempting to influence legislation and the association shall not participate in nor intervene (including the publishing or distribution of statements) in any political campaign on behalf of any candidate for public office.

ARTICLE VII

Notwithstanding any other provisions of these Articles, the association shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from Federal Income Tax under Section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any subsequent or future United States Internal Revenue Law) or (b) by an organization, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code of 1954 (or the corresponding provision of any subsequent or future United States Internal Revenue Law).

ARTICLE VIII

Upon the dissolution of the association, the Executive Committee shall, after paying or making provisions for the payment of all of the liabilities of the organization, dispose of all the assets of the association exclusively for the purposes of the organization in such manner, or to such organizations organized and operated exclusively for charitable, educational, scientific or religious purposes as shall at the time qualify as an exempt organization under Section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any subsequent or future United States Internal Revenue Law), as the Executive Committee of the association shall determine. Any such assets not so disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the association is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

ARTICLE IX

The Executive Committee of the association may draft, enact, and change Statutes or Bylaws for the association, and therein make provision and rules and regulations for members, standards of membership, fees and dues, regulations for officers and members of the committees of the association, and provide for other day-to-day operation of the association.

ARTICLE X

These Articles may be changed or amended by majority vote of the Executive Committee from time to time as needed.

IN WITNESS WHEREOF, the Articles are approved and adopted by the undersigned this 1st day of October, 2001.
